1About these terms
FizEdge Projects operates through two registered companies: Fizedge Projects Ltd (Nigeria, company no. 8693246) and Fizedge Projects Inc. (Canada, corporation no. 1794440-3, registered office 101 Brookside St, London, ON N5Z 5C9). The company named on your quote or invoice is the one you contract with. In these terms, “FizEdge”, “we” and “us” mean that company, and “you” means the person or business we work with.
These terms apply to every project unless your quote says otherwise. If your quote and these terms differ, the quote wins for that project.
2Our services
We provide apparel artwork services, including custom graphics, artwork recreation and vectorisation, cleanup and enhancement, and print-ready file preparation. We also build websites and set up online stores for apparel businesses. We don’t print, stock or ship garments as part of these services.
3Quotes and starting work
After reviewing your request, we send a quote setting out the scope, price, timeline, deliverables and number of revision rounds. Work starts once you accept the quote and make any upfront payment it asks for. Quotes are valid for the period stated on them.
4Payment
You agree to pay the amounts in your quote or invoice, in the currency and by the dates shown. We may pause work, or hold back final files, while a payment is overdue. Third-party costs such as platform subscriptions, apps, domains, fonts or stock assets are paid by you unless your quote includes them.
5Your materials
When you send us artwork, logos, photos, text or other materials, you confirm that you own them or have permission to use them, and that using them as you’ve asked won’t infringe anyone else’s rights. We don’t reproduce trademarks, logos or copyrighted artwork that belong to someone else without authorisation, and we may ask you to confirm your rights before we start.
You remain responsible for how you use the finished work, including making sure your products comply with the law where you sell them.
6Ownership of artwork
- Final artwork: once your project is paid in full, you own the final artwork we deliver for it, and you can use it for any lawful purpose.
- Before payment: until then, the work stays ours and you may not use it.
- Your materials: anything you supplied stays yours.
- Our tools: drafts and concepts you didn’t choose, plus our own templates, methods and general know-how, stay ours.
- Third-party assets: fonts, stock images and similar assets remain subject to their own licences.
- Portfolio: we only show your project in our portfolio or marketing with your permission.
7Revisions and delivery
Your quote sets out how many revision rounds are included. Changes outside the agreed scope, or extra rounds, may be charged separately, and we’ll tell you before doing that work. Please check delivered files promptly and let us know about any issue. Timelines depend on you sending materials and feedback when needed.
8Print results
We prepare files to print as closely as possible to the approved design for the print method you’ve told us about. Final results also depend on things outside our control, including the printer, equipment, inks, settings and fabric. We recommend a test print before any large run. We aren’t responsible for printing costs, or for problems caused by printing, or by files being used for a different method or size than agreed.
9Websites and online stores
We build websites and online stores for apparel businesses only. Platform, domain, payment and other accounts are set up in your name, and you own them. You’re responsible for your products, prices, policies, tax settings and the legal requirements of selling online. Third-party platforms and apps are covered by their own terms, and we aren’t responsible for their outages, changes or fees. What support is included after launch is set out in your quote.
10Cancellations
You can cancel a project at any time by emailing us. You’ll pay for work completed up to that point and for any costs we’ve already committed to on your behalf. Any refund of payments made in advance for work not yet done follows your quote. We may end a project if you seriously breach these terms, and we’ll tell you why in writing.
11Confidentiality
We treat your unreleased designs, files and business information as confidential and use them only for your project. You agree to keep our pricing and any confidential information we share with you private too.
12Work we don’t take on
We may decline any project. We don’t take on work that infringes someone else’s rights, promotes hate or violence, is illegal, or misleads people.
13Liability
We do our work with reasonable care and skill. To the extent the law allows, our total liability for a project is limited to the amount you paid us for that project, and we aren’t liable for indirect losses such as lost profits, lost sales or printing costs. Nothing in these terms limits liability that can’t be limited by law.
14Using this website
The content on fizedge.com is general information about our business and may change without notice. The FizEdge and Coolprez names, logos, artwork and other content on this site belong to FizEdge Projects or are used with permission, and may not be copied or reused without our written permission. Links to other websites are provided for convenience; we aren’t responsible for their content.
15Coolprez
Coolprez is an apparel brand developed by FizEdge Projects. Coolprez orders will be covered by the terms, shipping and returns policies published on the Coolprez store, not by these terms.
16Governing law
If you contract with Fizedge Projects Inc., these terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. If you contract with Fizedge Projects Ltd, they’re governed by the laws of the Federal Republic of Nigeria. We’ll always try to resolve any disagreement by talking first.
17Changes and contact
We may update these terms from time to time. The version in force when you accept a quote applies to that project. Questions about these terms: 244project@fizedge.com.
